Dangote Petroleum Refinery and Petrochemicals FZE (“Dangote Refinery” or the “Enterprise”) today announced the final close of its landmark Private Placement, successfully raising approximately US$2.5 billion in new equity.
The offering achieved an impressive 3.7 times oversubscription relative to the initial offer size, marking what is believed to be Africa’s largest publicly disclosed primary equity private placement by value.
The transaction represents Dangote Refinery’s first equity capital raise involving external investors beyond its legacy shareholder base, signalling a significant milestone in the Enterprise’s long-term funding strategy and the continued development of African capital markets.
The Private Placement attracted strong participation from a broad coalition of institutional and individual investors, including Africa Finance Corporation (AFC), India Infra Buildco – an investment vehicle facilitated by the African Export-Import Bank (Afreximbank), international and African institutional investors, sovereign-related investment vehicles, development finance institutions, and long-standing strategic partners.
This diverse investor base underscores deep and diversified market confidence in Dangote Refinery’s long-term strategy and operational execution capacity.
Net proceeds from the Private Placement will be allocated to supporting Dangote Refinery’s ongoing expansion of the refinery and petrochemical complex, strengthening the Enterprise’s capital structure, and providing additional financial flexibility for future growth initiatives.
Aliko Dangote, GCON, President/Chief Executive of Dangote Industries Limited and Chairman of Dangote Refinery, described the transaction as a strategic step to deepen and further institutionalise the Enterprise’s shareholder base, while raising capital to complement internal cash flows and external funding, as Dangote Refinery advances its expansion agenda.
He added that this further demonstrates Dangote Refinery’s profound commitment to developing domestic refining and petrochemical capacity – reducing Africa’s reliance on imported refined products and strengthening the continent’s energy security.
